General Terms and Conditions (GTC)

General terms and conditions for scientific research services of Montanuniversität Leoben.

1. Preamble and Scope

These General Terms and Conditions apply to concluded legal transactions and assignments, in particular research and service contracts, expert reports, and deliveries where Montanuniversität Leoben acts as contractor.

2. Orders, Offers and Ancillary Agreements

Type and scope of services result from the contract and these Terms. Agreements and changes generally require written form.

3. Client Duties to Inform and Cooperate

The client must provide all documents and information required for execution in due time and ensure suitable organizational conditions.

4. Reporting

Unless otherwise agreed, the contractor shall provide written reporting on the assignment results.

5. Delivery Period / Completion Date

Agreed deadlines are extended in case of official delays, force majeure, or comparable circumstances.

6. Protection of Contractor Intellectual Property

Intellectual property rights, neighboring rights, know-how, and adaptation rights remain with the contractor unless expressly agreed otherwise in writing.

7. Confidentiality, Publications, Data Protection

Both parties are bound by confidentiality. Publications by the contractor are permitted under the conditions defined in the Terms.

8. Defect Correction and Warranty

Claims for correction must be fulfilled within a reasonable period; warranty claims require immediate written notice of defects.

9. Liability

Liability is limited to damages caused intentionally or by gross negligence; liability for slight negligence and consequential damages is excluded.

10. Fees

Fees, due dates, interim invoicing, ancillary costs, and payment conditions are governed by the contract and these Terms.

11. Reminder and Collection Costs

In the event of late payment, default interest and reimbursement of reminder and collection costs apply.

12. Non-Assignment

Claims against the contractor may not be assigned without explicit written consent.

13. Delay in Acceptance and Lack of Cooperation

Delay in acceptance or insufficient cooperation by the client may trigger termination and compensation rights for the contractor.

14. Retention of Title

For deliverable goods, title remains with the contractor until full payment is received.

15. Withdrawal from Contract

Withdrawal conditions are defined in the Terms; under specific circumstances both parties may withdraw.
